A Venture Financial Rider is a supplemental document, typically attached to a contract (e.g., a financing or investment agreement), that specifies key financial terms and conditions relevant to a venture or startup. National Security-focused and dual-use companies are commonly subject to more extensive regulatory and compliance concerns than the average venture-backed technology company, which requires special attention to stockholder ownership, Board of Director composition, compliance process and reporting, and partner engagement, to ensure that the Company’s financing does not disrupt the Company’s business and to protect the investors’ economic and affiliation position.
